Terms of Service

1. Acceptance of Terms

By engaging Evertech Network Sdn. Bhd. ("Company", "we", "our", or "us") for any services, you ("Client", "you", or "your") agree to be bound by these Terms of Service.

These terms constitute a legally binding agreement between you and the Company. If you do not agree to these terms, please do not use our services.

2. Our Services

Evertech Network provides the following services:

• Custom Website Development
• Web Application Development
• Mobile Application Development
• Bug Fixing and Technical Support
• System Integration and Automation
• IT Consultation Services
• CRM Solutions (WABisnes, Chatbot iTech)

The specific scope, deliverables, and timeline for each project will be outlined in a separate project proposal or agreement.

3. Client Obligations

As a client, you agree to:

• Provide accurate and complete information required for the project
• Respond to communications and requests in a timely manner
• Provide necessary access to systems, accounts, or resources as needed
• Review and provide feedback on deliverables within agreed timeframes
• Make payments according to the agreed payment schedule
• Ensure all content provided does not infringe on third-party rights

4. Payment Terms

Pricing

All prices are quoted in Malaysian Ringgit (MYR) unless otherwise specified. Prices are subject to change and will be confirmed in writing before project commencement.

Payment Schedule

• A deposit (typically 50%) is required before project work begins
• Remaining balance is due upon project completion or as per agreed milestones
• Payment terms will be specified in the project proposal

Late Payments

Late payments may result in project delays or suspension of services. We reserve the right to charge interest on overdue amounts.

5. Intellectual Property

Client Materials

You retain ownership of all content, data, and materials you provide to us for the project.

Deliverables

Upon full payment, you will own the custom code and designs created specifically for your project. However:

• We retain ownership of pre-existing code, frameworks, and tools used
• Third-party components remain subject to their respective licenses
• We may use general knowledge and techniques gained during the project

Portfolio Rights

We reserve the right to display completed work in our portfolio unless otherwise agreed in writing.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the project. This includes but is not limited to:

• Business strategies and plans
• Technical specifications and source code
• Customer data and information
• Financial information

This obligation survives the termination of our business relationship.

7. Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the amount paid for the specific service
• We are not liable for indirect, incidental, or consequential damages
• We are not responsible for third-party services or integrations
• We do not guarantee specific business outcomes or results

We provide services "as is" and make no warranties beyond those expressly stated.

8. Termination

Either party may terminate the agreement:

• With written notice as specified in the project agreement
• Immediately if the other party breaches material terms
• If the other party becomes insolvent or bankrupt

Upon termination:

• Client pays for all work completed up to termination date
• We will deliver all completed work and materials
• Both parties return or destroy confidential information

9. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
